1. Who we are
Seedling (the “Platform”) is operated by Prometheus Works LLC, a Wyoming limited liability company with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States (“Seedling”, “we”, “us”). By creating an account or otherwise using the Platform, you enter into a legally binding agreement with us on these Terms.
2. What Seedling is (and what it is not)
Seedling is a marketplace and software platform for programs based on human dialogue and transformation. Independent organizations (“Spaces”, run by “Curators”) use Seedling to create gatherings, themes, and programs, to admit participants, and to collect payments where a program is paid.
Seedling is the platform, not the seller of programs. Each Space is an independent entity responsible for the content, conduct, delivery, and pricing of its programs. Seedling facilitates the transaction and provides the software, but does not itself provide the programs.
3. Accounts and user roles
The Platform supports two main roles:
- Participants — individuals who apply to and take part in programs offered by Spaces. Participants register with Seedling, and pay the relevant Space directly for any paid programs.
- Curators and Space Administrators — individuals acting on behalf of a Space, who create and manage Spaces, programs, themes, and gatherings, and who may collect payments from participants through Stripe Connect.
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at office@prometheusworks.co if you suspect unauthorized use.
4. Your content
You retain ownership of any text, materials, documents, or other content you submit to the Platform. By submitting content, you grant Seedling a worldwide, non-exclusive, royalty-free license to host, store, display, and transmit that content solely as needed to operate the Platform on your behalf.
You are responsible for the legality, accuracy, and appropriateness of the content you submit. You must not submit content that violates our Acceptable Use Policy.
5. Payments, platform fee, and Stripe Connect
For paid programs, Seedling uses Stripe Connect (Express accounts with Destination Charges) to process payments. Each Space that wants to offer paid programs must complete Stripe’s onboarding and agree to the Stripe Connected Account Agreement and the Stripe Services Agreement.
For each successful payment, the funds are processed on the Seedling platform account and then transferred to the Space’s connected Stripe account, minus a platform fee retained by Seedling. The platform fee is configured per platform, per Space, or per program, and is disclosed to Curators in their dashboard. See our Pricing page for the current platform fee structure.
Refunds, chargebacks, and disputes for paid programs are the responsibility of the Space that sold the program. See our Refund & Cancellation Policy for details.
6. Curator / Space responsibilities
If you act as a Curator or Space Administrator, you represent and warrant that:
- You have the legal authority to represent the Space on the Platform and to collect payments for its programs.
- The information you provide during Stripe Connect onboarding is accurate and complete, and you will keep it up to date.
- You are responsible for all tax obligations (VAT, sales tax, income tax) arising from your Space’s revenue on the Platform.
- You will deliver the programs you sell in good faith, and handle refunds and disputes with your participants fairly and promptly.
- You will comply with all applicable laws, including consumer protection, data protection, and payment regulations.
7. Service availability
We strive to keep the Platform available and reliable, but we do not guarantee uninterrupted service. The Platform is provided on an “as is” and “as available” basis. We may perform maintenance, updates, or changes that temporarily affect availability.
8. Termination
You may stop using the Platform and request account deletion at any time by contacting office@prometheusworks.co. We may suspend or terminate accounts that violate these Terms, the Acceptable Use Policy, or applicable law. We may also disconnect a Space from Stripe Connect if its account becomes restricted or non-compliant.
9. Limitation of liability
To the fullest extent permitted by applicable law, Seedling will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Platform, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits any rights you have under mandatory consumer protection laws that cannot be waived by agreement.
10. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Disputes arising from or related to these Terms will be resolved in the competent courts of Wyoming, unless mandatory consumer law provides otherwise for your jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, notify users through the Platform or by email. Continued use of the Platform after a change takes effect means you accept the updated Terms.
